End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and Backwood.app (“Backwood,” “we,” “us,” or “our”), the Application Provider, governing your use of the Backwood mobile application (“Licensed Application”) made available through the Apple App Store. By downloading, installing, or using the Licensed Application, you agree to be bound by this EULA and the Apple Media Services Terms and Conditions (“Usage Rules”). If you do not agree, do not download or use the Licensed Application.
- 1. Scope of License: Backwood grants you a nontransferable, non-exclusive, revocable license to use the Licensed Application on Apple-branded products that you own or control, solely for personal, non-commercial use, subject to this EULA and the Usage Rules. This license covers content, materials, services, and updates or upgrades provided by Backwood, unless accompanied by a separate EULA. You may not:
- Distribute or make the Licensed Application available over a network for use by multiple devices simultaneously.
- Transfer, redistribute, or sublicense the Licensed Application.
- Copy (except as permitted by this license and Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, its updates, or any part thereof, except as permitted by applicable law or licensing terms for open-source components, if applicable.
- Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Licensed Application.
- If you sell or transfer your Apple device, you must remove the Licensed Application beforehand.
- 2. Eligibility and Account:
- You must be at least 13 years old to use the Licensed Application and have the legal capacity to enter this EULA. If you are under 18, you confirm that you have parental or guardian consent to use the Licensed Application.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- Backwood reserves the right to suspend, terminate, or restrict your account or access to the Licensed Application at its sole discretion, with or without notice, for violating this EULA, engaging in harmful conduct, or for any other reason deemed necessary to protect the platform or its community.
- 3. User Content and Conduct:
- Content Ownership and License: You may share videos, photos, meetups, location markers (e.g., trails, fishing spots), and other content (“User Content”) through the Licensed Application. You retain ownership of your User Content but grant Backwood a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, store, display, reproduce, modify, and distribute your User Content within the Licensed Application and related services to operate, provide, and promote the platform. Public User Content is visible to all users unless designated as friend-only, which is restricted to selected users you approve.
- Content Responsibility: You are solely responsible for User Content you post. User Content must not:
- Violate any local, state, federal, or international laws, including privacy, intellectual property, or environmental regulations.
- Infringe intellectual property rights of Backwood or third parties.
- Be offensive, harmful, defamatory, misleading, false, or inappropriate, including explicit, obscene, or pornographic material.
- Promote violence, self-harm, or illegal activities.
- Endanger users, such as inaccurate trail or location data that could lead to harm or legal violations.
- Exploit, harm, or endanger minors.
- Prohibited Conduct: You may not:
- Harass, bully, intimidate, threaten, or defame other users through User Content or behavior.
- Impersonate any person, organization, or entity, or misrepresent your identity or affiliations.
- Post location markers, routes, or meetups on private property without explicit, verifiable permission from the property owner.
- Use automated bots, scripts, or other means to hack, disrupt, scrape, or misuse the Licensed Application without Backwood’s prior written consent.
- Engage in spamming, fraud, or activities that violate this EULA or applicable laws.
- Attempt to access or collect data from other users’ accounts without authorization.
- Meetups and Location Markers: Public meetups and location markers are visible to all users unless set as friend-only. You agree to share location-based information responsibly and not post misleading, unsafe, or illegal locations. Backwood is not liable for any incidents, injuries, or legal consequences arising from meetups, location markers, or related activities, including trespassing or environmental violations.
- Virtual Credits and Prizes: The Licensed Application may offer virtual credits for challenges, competitions, achievements, or other activities. Credits have no real-world monetary value, cannot be redeemed for cash, and are for in-app use only. Credits may be used to claim prizes, but prize availability, value, and terms may be changed, modified, or discontinued at Backwood’s sole discretion without notice. Backwood may alter or cancel credit payouts at any time.
- Content Moderation: Backwood reserves the right, but is not obligated, to monitor, review, remove, or restrict User Content or accounts that violate this EULA or are deemed harmful, at its sole discretion, without notice or liability.
- 4. Consent to Use of Data:
- Backwood collects minimal personal data, typically only an email address when provided (e.g., for account creation or Android beta sign-up). User Content, such as videos, photos, meetups, and location markers, is public by default unless set as friend-only. Private chat messages are stored temporarily and can be deleted by you at any time.
- We may collect and use technical data (e.g., device type, operating system, usage data) and anonymized analytics to provide software updates, support, improve the Licensed Application, and enhance user experience. This data is used in a form that does not personally identify you, except as necessary to provide services or comply with legal obligations.
- Location data shared for markers or meetups is stored to display within the Licensed Application. Public markers are visible to all users, while friend-only markers are restricted. You control what location data you share and can delete it at any time. Backwood is not responsible for the accuracy or safety of shared locations.
- Credits data (e.g., credits earned or used for prizes) is stored to manage in-app activities and has no real-world value.
- We do not sell, trade, or share your data with third parties for marketing purposes, except as required to provide services (e.g., hosting providers, analytics tools) or comply with legal obligations (e.g., court orders).
- Our website may use cookies for basic functionality and anonymized analytics. No personal data is collected through cookies, and you can disable them in your browser settings.
- You may delete your posts, chat messages, or account at any time through the app’s settings. Deleted data is permanently removed from our servers within a reasonable timeframe, unless retention is required by law.

- 5. Compliance with Laws:
- You agree to comply with all applicable local, state, federal, and international laws when using the Licensed Application, including but not limited to laws related to trespassing, public safety, environmental protection, privacy, and intellectual property.
- You may not use or export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which it was obtained. Specifically, you may not export or re-export the Licensed Application:
- Into any U.S.-embargoed countries.
- To anyone on the U.S. Treasury Department’s Specially Designated Nationals List, the U.S. Department of Commerce Denied Persons List, or Entity List.
- By using the Licensed Application, you represent and warrant that you are not located in any such country or on any such list and that you will not use the Licensed Application for purposes prohibited by U.S. law, including the development, design, manufacture, or production of nuclear, missile, chemical, or biological weapons.
- 6. External Services:
- The Licensed Application may enable access to Backwood’s or third-party services, websites, or APIs (“External Services”), such as mapping tools or social media integrations. You use External Services at your sole risk. Backwood is not responsible for examining, evaluating, or guaranteeing the content, accuracy, availability, or security of External Services.
- Data displayed by External Services (e.g., financial, medical, or location information) is for informational purposes only and is not warranted by Backwood or its agents.
- You agree not to use External Services in a manner that violates this EULA, infringes intellectual property rights, or causes harm (e.g., harassment, defamation). Backwood is not liable for any such use.
- External Services may not be available in all languages, regions, or devices and may be inappropriate or restricted in certain locations. Backwood reserves the right to change, suspend, remove, or impose restrictions on External Services at any time without notice or liability.
- You are solely responsible for complying with any terms or laws applicable to External Services.
- 7. No Warranty: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION AND ANY SERVICES IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. BACKWOOD AND ITS AFFILIATES HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE FROM BACKWOOD, ITS AFFILIATES, OR REPRESENTATIVES SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON CONSUMER STATUTORY RIGHTS, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
- 8. Limitation of Liability: TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL BACKWOOD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR OTHER COMMERCIAL OR PERSONAL LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, INCLUDING RELIANCE ON USER CONTENT, MEETUPS, LOCATION MARKERS, OR EXTERNAL SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF BACKWOOD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY OR CERTAIN INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL BACKWOOD’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS REQUIRED BY LAW FOR PERSONAL INJURY) EXCEED FIFTY U.S. DOLLARS ($50.00). THE FOREGOING LIMITATIONS APPLY EVEN IF THE STATED REMEDY FAILS ITS ESSENTIAL PURPOSE.
- 9. Indemnification: You agree to indemnify, defend, and hold harmless Backwood, its affiliates, officers, directors, employees, agents, and service providers from and against any claims, demands, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:
- Your use of the Licensed Application or External Services.
- Your User Content, including any infringement of third-party intellectual property or privacy rights.
- Your violation of this EULA or any applicable laws, including trespassing or environmental regulations.
- Your participation in meetups or reliance on location-based information shared via the Licensed Application.
- 10. Termination: This EULA is effective until terminated by you or Backwood. You may terminate by deleting the Licensed Application and your account, which will remove your User Content and chat messages from our servers within a reasonable timeframe, unless retention is required by law. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Backwood may suspend, terminate, or restrict your account or access to the Licensed Application at its sole discretion, with or without notice, for any reason, including violation of this EULA or conduct deemed harmful to the platform or community. Upon termination, you must cease all use of the Licensed Application and delete all copies from your devices.
- 11. Government Use: The Licensed Application and related documentation are “Commercial Items” as defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation,” as used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, the Licensed Application is licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights granted to all other end users under this EULA. Unpublished rights are reserved under the copyright laws of the United States.
- 11.5. Intellectual Property: You acknowledge that all content, trademarks, service marks, logos, and other intellectual property within the Licensed Application, excluding User Content, are owned by Backwood or its licensors. You may not use, reproduce, or distribute such intellectual property without prior written consent from Backwood, except as permitted by this EULA.
- 12. Governing Law and Dispute Resolution:
- Governing Law: This EULA and the relationship between you and Backwood are governed by the laws of the State of [Your State, e.g., Delaware], excluding its conflict of law provisions. If you are a citizen of any European Union country, Switzerland, Norway, or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence. The United Nations Convention on the International Sale of Goods is expressly excluded from this EULA.
- Arbitration: Any disputes arising from or related to this EULA shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in [Your City/County, e.g., New Castle County, Delaware], unless prohibited by applicable law. You and Backwood agree to arbitrate disputes on an individual basis, and no class or representative actions are permitted. You may opt out of this arbitration agreement by sending written notice to support@backwood.app within 30 days of accepting this EULA. If you opt out, disputes shall be resolved exclusively in the state or federal courts located in [Your City/County, e.g., New Castle County, Delaware], and you consent to the personal and exclusive jurisdiction of such courts.
- Exceptions: Notwithstanding the above, Backwood may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or prevent harm to the platform or users.
- 13. Changes to this EULA: Backwood may update this EULA at any time. Changes will be posted at backwood.app/eula, and we may notify you via in-app messages or email (support@backwood.app). Your continued use of the Licensed Application after changes are posted constitutes acceptance of the updated EULA. If you do not agree to the changes, you must stop using the Licensed Application and delete it from your devices.
- 14. Miscellaneous:
- Severability: If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Entire Agreement: This EULA, together with the Privacy Policy, constitutes the entire agreement between you and Backwood regarding the Licensed Application and supersedes any prior agreements.
- No Waiver: Backwood’s failure to enforce any provision of this EULA does not constitute a waiver of that provision or any other rights.
- Assignment: You may not assign or transfer this EULA or your rights hereunder. Backwood may assign this EULA to a successor or affiliate without notice.
- Language: This EULA is in English. Any translations are for convenience only, and the English version controls.
- 15. Apple Device Terms: You acknowledge and agree that:
- This EULA is between you and Backwood, not Apple, and Backwood, not Apple, is solely responsible for the Licensed Application and its content.
- Apple has no obligation to furnish any maintenance or support services with respect to the Licensed Application.
- In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application.
- Apple is not responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including:
- Product liability claims;
- Any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and
- Claims arising under consumer protection, privacy, or similar legislation.
- You agree to comply with applicable third-party terms when using the Licensed Application (e.g., wireless data agreements).
- Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

By using Backwood.app, you agree to these Terms of Use and our Privacy Policy. If you do not agree, please do not use the app.
- 1. Eligibility: You must be at least 13 years old to use Backwood.app and have the legal capacity to agree to these Terms. If you are under 18, you confirm that you have parental or guardian consent to use the app.
- 2. User Content:
- You may publicly share videos, photos, meetups, and location markers (e.g., trails, fishing spots). You can also create friend-only spots visible only to selected users.

Account Bans and Suspensions: Backwood reserves the right to ban, suspend, or restrict any user or account at any time, with or without notice, for violating these Terms, engaging in harmful conduct, or for any reason deemed necessary to protect the platform or its community, at our sole discretion.
- 5. No Harassment or Threats: You may not use Backwood to harass, bully, intimidate, threaten, or defame other users. This includes posting abusive, hateful, or threatening content or engaging in behavior that causes distress or harm to others.
- 6. Compliance with Local Laws: You must comply with all applicable local, state, federal, and international laws when using Backwood, including laws related to trespassing, public safety, environmental protection, privacy, and intellectual property.
- 7. No Private Property Markers or Routes: You may not post location markers, routes, or meetups on private property without explicit, verifiable permission from the property owner. Backwood is not liable for any legal consequences arising from trespassing or unauthorized access.
- 8. Additional Prohibited Conduct: You may not:
- Impersonate any person, organization, or entity, or misrepresent your identity or affiliations.
- Post or share content that promotes violence, self-harm, or illegal activities.
- Share explicit, obscene, or pornographic content.
- Post false or misleading information that could endanger users, such as inaccurate trail or location data.
- Engage in any activity that exploits, harms, or endangers minors.
- Use automated bots, scripts, or other means to hack, disrupt, scrape, or misuse the app without Backwood’s prior written consent.
- Engage in spamming, fraud, or activities that violate these Terms or applicable laws.
- 9. Meetups and Location Markers: Meetups and location markers you post are public by default unless designated as friend-only. You agree to share location-based information responsibly and not post misleading, unsafe, or illegal locations. Backwood is not liable for any incidents, injuries, or legal consequences arising from meetups or location-based activities.
- 10. Virtual Credits and Prizes: Backwood may offer virtual credits for challenges, competitions, achievements, or other activities. Credits have no real-world monetary value, cannot be redeemed for cash, and are for in-app use only. Credits can be used to claim prizes, but prize availability, value, and terms may be changed, modified, or discontinued at Backwood’s sole discretion without notice. Credit payouts for challenges, competitions, or achievements are subject to change or cancellation at any time.
- 11. Community Guidelines: We are committed to maintaining a safe and respectful community. You agree to follow our Community Guidelines, accessible in-app or at backwood.app/community [Note: Update with actual URL if available]. Backwood provides tools to report, block, or flag inappropriate content or users. To report violations, use the in-app reporting feature or contact support@backwood.app. We reserve the right to take action, including content removal or account suspension, based on reported violations, at our sole discretion.
- 12. Account Termination: We may suspend, terminate, or restrict your account for any reason, including violation of these Terms, without notice or liability. You may delete your account at any time through the app’s settings, which will remove your posts and chat messages from our servers within a reasonable timeframe, unless retention is required by law.
- 13. Limitation of Liability: Backwood is provided “as is” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We are not liable for any damages, losses, or injuries arising from your use of the app, including but not limited to reliance on content, meetups, or location markers posted by users. You use Backwood at your own risk.
- 14. Indemnification: You agree to indemnify, defend, and hold harmless Backwood, its affiliates, officers, directors, employees, agents, and service providers from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the app, your content, your violation of these Terms, or your participation in meetups or reliance on location-based information.
- 15. Accessibility: We are committed to providing an accessible user experience for all users, including those with disabilities. If you encounter any accessibility issues, please contact us at support@backwood.app to provide feedback or request assistance.
- 16. Changes to Terms: We may update these Terms of Use at any time. Changes will be posted at backwood.app/terms, and we may notify you via in-app messages or email. Continued use of the app constitutes acceptance of the updated Terms.

California Privacy Rights: If you are a California resident, you may request access to the personal data we have collected about you, request deletion of your data, and opt out of data sharing where applicable, as provided under the California Consumer Privacy Act (CCPA). - 13. Data Deletion: You can delete your posts, chat messages, or entire account at any time through the app’s settings. Deleted data is permanently removed from our servers within a reasonable timeframe, except where retention is required by law (e.g., for legal compliance or dispute resolution).
- 14. Security: We implement reasonable measures to protect your data, but no system is completely secure. You acknowledge the risks of sharing information online and agree that Backwood is not liable for unauthorized access or data breaches.
